This Artist Services and Curated Tier Agreement (the "Agreement") constitutes a legally binding contract between DistroVibe, an entity incorporated under the laws of England and Wales, and the selected creator, record label, or artist collective. It specifically governs your admission into the exclusive, curated "Apply Tier" (DistroVibe Signed).
Label Services Addendum
This Agreement acts as an executive label services addendum to the standard DistroVibe Digital Music Distribution Agreement, securing your position within our "DistroVibe Signed" roster, priority A&R network, and global playlist pitching pipelines.
1. The "DistroVibe Signed" Roster and Branding
Admission into the Apply Tier is strictly at the unilateral discretion of DistroVibe's executive A&R committee. Being "Signed" grants you access to prioritized branding assets, dedicated account management, and the "DistroVibe Signed" official roster showcase.
DistroVibe provides enhanced label services: direct editorial playlist pitching across Spotify, Apple Music, and Amazon Music, digital billboard campaigns, and priority DDEX metadata delivery.
Visual Identity (Signature Duotone, Purple, Neon Green) remains exclusive to DV.
2. Exclusivity & Sync Licensing Representation
Admission into the Apply Tier establishes a high-level commercial partnership for specific audio masters. This level of investment requires contractual exclusivity for the designated catalogue.
Exclusive Digital Exploitation
You grant DistroVibe the sole and exclusive right to digitally distribute, encode, publicly perform, and monetize the designated Master recordings and associated artwork throughout the world (the "Territory") during the Term.
Sync Licensing Representation (50/50 Default Split)
DistroVibe retains the non-exclusive right to pitch, negotiate, and administer synchronization licenses for Film, Television, Video Games, Advertising, and Commercial Media on your behalf, subject to a default 50/50 net revenue split, unless otherwise explicitly defined in a separate executed Sync Addendum.
3. Advances & Transparent Recoupment Terms
Financial Advances & Recoupment
DistroVibe may offer upfront financial Advances to fund recording, marketing, or music video production. These investments are fully recoupable from royalty revenues on a transparent, auditable basis.
Full Recoupment Safeguard
100% of generated royalty revenues are retained by DistroVibe until the upfront Advance and any pre-approved, mutually agreed administrative, production, or marketing expenses are fully recouped.
Post-Recoupment Profit Split
Immediately following complete recoupment of the Advance and approved direct costs, royalty payouts revert to the favorable, custom percentage negotiated in your signed offer schedule.
4. Right of First Refusal (ROFR)

Because DistroVibe commits substantial A&R mentorship, upfront capital, and priority marketing resources, DistroVibe retains an irrevocable Right of First Refusal (ROFR) for your next commercial release.
5. Production & Quality Control Standards
The Apply Tier represents the pinnacle of our catalogue. All submissions must satisfy the "DistroVibe Signed Standard" regarding commercial acoustic clarity and visual assets:
Mastering Standards
Audio masters must meet professional broadcast loudness (LUFS), sample rate (44.1kHz / 24-bit minimum), and lossless quality parameters.
Clean Metadata Integrity
No generic keywords, deceptive contributor names, or SEO manipulation allowed. All featured artists must have verified credentials.
6. Anti-Fraud Integration, Indemnification & Governing Law
Termination for Cause & Anti-Fraud Policy Integration
DistroVibe may terminate this Agreement immediately for copyright infringement, brand reputation damage, or streaming manipulation. This Addendum is strictly subject to the DistroVibe Anti-Fraud and Artificial Streaming Policy. Any confirmed artificial streaming or botting will trigger immediate termination, catalogue takedowns, and the financial penalties and cross-collateralization rights defined therein.
Global Indemnity
You agree to fully indemnify, defend, and hold harmless DistroVibe and its backend infrastructure partners from any third-party claims, legal fees, or damages arising from your breach of this agreement.
