This Artist Services and Curated Tier Agreement (the "Agreement") constitutes a legally binding contract between DistroVibe and the selected artist collective. It specifically governs your acceptance into the exclusive, invitation-only "Apply Tier."
Premium Addendum
This Agreement acts as a premium addendum to the standard DistroVibe Digital Music Distribution Agreement, securing your position within our "DistroVibe Signed" roster and editorial ecosystem.
1. The "DistroVibe Signed" Roster and Branding
Admission into the Apply Tier is strictly at the unilateral discretion of DistroVibe's A&R team. Being "Signed" grants you access to prioritized branding assets and the "DistroVibe Signed" official roster.
DistroVibe may provide enhanced services: playlist pitching, digital advertising, and priority metadata support to maximize potential reach.
Visual Identity (Signature Duotone, Purple, Neon Green) remains exclusive to DV.
2. Exclusivity and Grant of Rights
Acceptance into the Apply Tier establishes a high-level exclusive partnership for specific audio assets. This level of investment requires absolute commitment to the DistroVibe infrastructure.
Exclusive Distribution
You grant DistroVibe the sole and exclusive right to digitally distribute, reproduce, and monetize the Master recordings and Compositions throughout the world (the "Territory").
Sync Licensing Representation
DistroVibe retains the non-exclusive right to pitch and negotiate synchronization licenses for TV, Film, Games, and Commercials on your behalf, subject to a separate fee split.
3. Advances, Recoupment, and Financial Terms
Financial Investment
DistroVibe may offer upfront financial Advances to fund artistic initiatives. These investments are fully recoupable from royalty revenues.
Full Recoupment
100% of generated revenue is retained by DistroVibe until the Advance and administrative fees are cleared.
Custom Royalty Splits
Post-recoupment, payouts revert to the highly favorable, custom percentage negotiated in your welcome offer.
4. Options and Right of First Refusal (ROFR)
Career Investment Protection
Because DistroVibe invests significant A&R expertise and marketing resources, we retain the irrevocable Option (the "Right of First Refusal") to distribute your next commercial release. Prior to third-party engagement, you must submit the masters to DistroVibe for a 30-day review period.
5. Strict Quality Control
The Apply Tier represents the pinnacle of our distribution network. All output must meet the "DistroVibe Standard" regarding sonic clarity and visual presentation.
Commercial Standards
Masters must meet professional loudness (LUFS) and quality requirements.
No Metadata Abuse
Generic titles or SEO-manipulated artist names are strictly prohibited.
6. Termination and Indemnification
Termination for Cause
DistroVibe may terminate this Agreement immediately for intellectual property infringement, artificial streaming activity, or behavior that damages the "DistroVibe Signed" brand reputation.
Global Indemnity
You agree to fully indemnify, defend, and hold harmless DistroVibe and its partners from any third-party claims arising from your breach of this agreement.
